Tax Planning
The tax planning practice encompasses virtually all areas covered by the Internal Revenue Code and the California Revenue and Taxation Code. Counseling and planning involves the taxation of corporations, partnerships and limited liability companies, trusts, real estate, and tax-exempt organizations. Dave Porter acts as tax counsel, and outside general counsel, on an ongoing basis for corporations, partnerships, limited liability companies, and individuals engaged in businesses that include construction, retail sales, restaurants, real estate, professional practices, and computer technology. He also acts as special tax counsel in complex transactions involving purchases or sales of businesses and real estate, nontaxable exchanges of property, contracts, and business planning. Exempt Organizations - Dave assists clients in fulfilling their charitable estate planning goals. He represents individuals and organizations in the establishment and administration of charitable remainder (or lead) trusts, private foundations, public charities, and other planned giving strategies. |
Estate Planning Estate Planning often encompasses the resolution of unique income, gift, estate, and generation-skipping tax concerns. Some of the estate planning vehicles that are used include irrevocable life insurance trusts and grantor retained annuity trusts. The practice in this area also includes representation of officers, directors, and principal shareholders of publicly and privately held companies in the arrangement of their estates to minimize the impact of estate, gift, and generation-skipping taxes. Dave has represented executors and trustees in the administration and settlement of estates, and has represented beneficiaries in resolving trust and estate disputes.
